Imprivata Patient Access (“IPA”) Cloud Service Appendix
- Imprivata Patient Access Cloud Services. The specifications and system requirements for IPA, including any additional licenses or subscriptions are as described in the Documentation.
- Pricing Metrics. IPA is licensed and priced based on a volume-tier model. As set forth in the Order Form, Customer purchases IPA licenses at a specific tier of Patient Enrollments, which is the maximum number of licensed Enrollments permitted for such tier. “Patient Enrollment” shall mean a unique patient who, at any time during the Subscription Term, is enrolled to use an Imprivata authenticator in connection with IPA. If, at any time during the Subscription Term, Customer exceeds the maximum number of Patient Enrollments for its licensed tier, Customer shall be required to purchase the additional Patient Enrollments tier as co-termed with their subscription. In such event, Imprivata shall invoice Customer for the additional fees associated with the additional tier subscription as set forth in Imprivata’s then-current pricelist and pro-rated for the remainder of the Subscription Term.
IPA subscriptions shall include a specified number of Identity Verifications for each tier as set forth in the table below. “Identity Verification” or “IDV” shall mean each attempted transaction performed within IPA to digitally verify an end user’s identity by validating a government-issued identification document, including but not limited to a state-issued driver’s license or passport, against end-user-provided inputs. IDVs are performed solely in connection with patient enrollment and/or account recovery within IPA and apply only to IPA. Customer’s IPA subscription includes a finite number of IDVs provided on an annual basis and reset on each IPA renewal or subscription anniversary date. Additional IDVs beyond those included in the IPA subscription may be purchased separately, provided that Customer maintains an active IPA subscription. If Customer moves to a higher volume tier during the IPA Subscription Term, Customer shall be entitled to a prorated quantity of additional included IDVs corresponding to such higher tier for the remainder of the applicable subscription year.

Patient Enrollment tiers above 1,000,000 patients are not specified in this table. If Customer’s Patient Enrollment exceeds 1,000,000 patients, the parties will mutually determine and document the applicable Patient Enrollment tier and included annual Identity Verification volume.
